The role of the media in the businesses of companies

The most typical role, as well as the one that is the first association of all readers when they read the title “The role of the media in the businesses of companies” is advertising the activities of the company, and then publishing information of public importance that is related to a certain company.

Accordingly, the law recognizes “advertising” of a certain economic activity and defines it as commercial audiovisual communication, and in that sense represents it as a media service that includes the inclusion in the program of a set of images with or without sound, intended for the direct or indirect promotion of goods, services or the image of a physical or a legal entity that performs some economic activity, with a certain financial or similar compensation or self-promotion.

Namely, as the media themselves must be established as legal entities, i.e. companies, it can be concluded that they influence the business in terms of promotion, then information, and providing "help" in fulfilling obligations prescribed by law, especially when it comes to bankruptcy and executive procedure, and which procedures will be discussed below.

Furthermore, the media play a significant role in the legal operation of companies, especially those with shareholders, because the Law on Companies obliges them to provide the dates of scheduled assemblies, possibly indicating the need to achieve a quorum at the assemblies, as well as the conditions for the offer of shares based on the right of pre-emption, including the period in which this right must be used by publication in the printed media, all for the sake of the unhindered performance of economic activity.

Therefore, when announcing the date of the assembly, the joint-stock company, i.e. the board of directors of the company, is obliged to inform about the convening of the assembly twice in at least one daily print media published in Montenegro if it has 100 or more shareholders.

Furthermore, if the necessary quorum (shareholders owning more than half of the total number of shares with voting rights) is not reached at the meeting of shareholders, the meeting of shareholders may be convened again, with the fact that the notice of convening the repeated meeting of shareholders must be published at least twice in at least one daily printed media published in Montenegro.

Also, the conditions of the offer of shares based on the right of pre-emption, including the period in which this right must be exercised, are published at least twice in one daily print media in Montenegro.

Therefore, the role of the media in business operations of companies plays an important role, since the same is impossible without the participation or provision of a certain type of support from the media as a company that deals with advertising or the dissemination of information of public importance.

Furthermore, the Media Law of Montenegro stipulates that the state finances projects in the field of information from the budget, by providing financial resources for the provision of public services through the Fund for Encouraging Pluralism and Diversity of the Media, and that funds from the fund are used for the affirmation of entrepreneurship.

In this regard, the law prescribes indirect aid from the state and the media to business operations, since the entrepreneur is also prescribed as a form of economic activity.

During the implementation of the execution procedure on immovable property, that is, on movable property or shares/shares in the company, the public executor is obliged to announce the sale of the said objects of execution in daily newspapers, which is prescribed by the Law on Execution and Security. Real estate sales are also advertised during bankruptcy proceedings, so the advertising procedure is the same.
